1. General provisions

1.1. These Rules of Purchase and Sale of Shouldismile.com (hereinafter referred to as the “Rules”) establish the conditions and procedure for ordering, purchasing and returning Shouldismile.com goods, as well as specify the information required to be provided to the Buyer in accordance with the legislation of the Republic of Lithuania. Shouldismile.com’s mutual rights and obligations when using the online store at www.shouldismile.com.

1.2. The seller is Shouldismile.com, a private legal entity whose legal form is business license activity.

1.3. To buy goods in the online store www.shouldismile.com you have the exclusive right to:

1.3.1. Active natural persons, i. persons who have reached the age of majority and whose legal capacity is not restricted by court order;

1.3.2. minors between the ages of 16 and 18 with the consent of their parents or guardians, unless they are self-employed;

1.3.3. legal entities;

1.3.4. authorized representatives of all the above persons.

1.4. By placing an order, the Buyer unconditionally confirms that he has the right to purchase e-mail. in the store at www.shouldismile.com. Seller assumes no legal responsibility if this Buyer’s confirmation is in whole or in part untrue or misleading in any way.

1.5. The Seller is released from any liability if the Buyer has not read the Rules in part or in full, even though he has been given such an opportunity.

2. Conclusion of a purchase and sale agreement

2.1. 2.2. After concluding the Purchase and Sale Agreement, the assortment of goods, their quantity, price, delivery time and other conditions specified during the Buyer’s order are binding on the Buyer and the Seller, and may be changed only in accordance with these Rules.

2.3. Purchase and sale agreements are registered and stored in the Seller’s database.

3. Ordering goods and paying for goods

3.7. The Seller shall provide the Buyer with a VAT invoice together with the ordered product (s).

3.8. The personal data provided by the Buyer will be processed in accordance with the requirements established by the Law on Legal Protection of Personal Data of the Republic of Lithuania, as well as other legal acts of the Republic of Lithuania regulating the processing and protection of this data. In processing and storing the Buyer’s personal data, the Seller will implement organizational and technical measures that will ensure the protection of personal data from accidental or unlawful destruction, alteration, disclosure, as well as from any other unlawful processing.

4. Buyer’s rights and obligations

4.1. The Buyer has the right to purchase goods in the online store www.shouldismile.com in accordance with these Rules.

4.2. The Buyer has the right to withdraw from the purchase and sale agreement in accordance with the procedure established in these Rules.

4.3. The Buyer has the right to return the goods in accordance with the procedure established by these Rules.

4.4. Cancellation or adjustment of the ordered and formed Shopping Cart is not possible.

4.5. The Buyer must pay for the purchased goods and accept them in accordance with the procedure provided for in these Rules.

4.6. If the Buyer, at the time of delivery of the goods, refuses to accept the goods without important reasons, the Buyer must cover the costs of returning the goods at the request of the Seller.

5. Seller’s Rights

5.3. The Seller undertakes to deliver the goods purchased by the Buyer to the specified address in accordance with the conditions established by these Rules.

5.4. The Seller undertakes to ensure the confidentiality of the Buyer’s information entrusted to him and not to pass it on to third parties without the Buyer’s consent, except for the cases provided for in the legal acts of the Republic of Lithuania and these Rules.

5.5. In case of return of the money guarantee, when the product is of good quality and the rules of return of the goods are not violated, the Seller undertakes to accept the returned goods and return the money, or to replace the product with a similar or another product.

5.6. The Seller undertakes to respect the Buyer’s right to privacy of personal information belonging to him.

5.7. When due to unforeseen circumstances the Seller is unable to deliver the goods purchased in the online store www.shouldismile.com, the Seller has the right to terminate the Purchase Agreement by notifying the Buyer in advance. The seller can offer a similar product. If the Buyer refuses, the Seller undertakes to return the money paid within 5 working days.

5.8. The Seller may not refund the amount paid by the Buyer until the goods have been returned to the Seller or until the Buyer provides proof that the goods have been sent to the Seller, whichever is the earlier.

6. Goods

7. Delivery of goods

7.3. Delivery terms are given in the product descriptions. The seller undertakes to deliver the purchased goods as soon as possible. The term of delivery of goods starts to count from the next working day after the Order is confirmed by the Seller. These terms are preliminary. They also do not apply in cases when the required goods are not in the Seller’s warehouse and the Buyer is informed about the shortage of the goods ordered by him. By approving these Rules, the Buyer agrees that in exceptional cases the delivery of goods may be delayed due to unforeseen circumstances beyond the control of the Seller. In this case, the Parties will make every effort to harmonize the terms and conditions of delivery of the goods. If the Seller does not deliver the goods within the additional term and unless the Seller and the Buyer mutually agree otherwise, the Buyer may exercise the right established in these Rules – to withdraw from the contract of purchase and sale of goods. If the goods have been paid in advance, the money paid for the goods is refunded to the Buyer within 14 days.

7.4. The Seller is released from liability for violation of the terms of delivery of goods, if the goods are not delivered to the Buyer or are not delivered on time due to the fault of the Buyer or due to circumstances beyond the control of the Buyer.

7.5. The characteristics of each product sold are indicated in the description accompanying each product. The Seller is not responsible for the fact that the color, shape or other parameters of the goods in the online store may not correspond to the actual size, shape and color of the goods due to the characteristics of the monitor used by the Buyer.

7.6. In all cases, the Buyer, if noticed during the delivery violations of the packaging, discrepancies in the completeness (range) of the delivered goods, must indicate remarks in the delivery document submitted by the courier or draw up a separate report on these violations. The Buyer must do this in the presence of a courier. If the Buyer fails to check the packaging, the completeness (range), quantity and / or quantity of the delivered goods and does not indicate these deficiencies in the delivery document submitted by the courier, the consignment is considered delivered and intact.

8. Return of goods

8.1. The purchased goods are returned and / or replaced in accordance with Articles 6.362 and 6.363 of the Civil Code of the Republic of Lithuania, as well as July 22 the “Retail Trade Rules”, the Civil Code of the Republic of Lithuania and other valid legal acts of the Republic of Lithuania approved by Resolution No. 738.

8.2. The Buyer may return the quality product and recover the money paid for it (money back guarantee) within 14 calendar days from the date of delivery of the product, if the quality product is returned in accordance with the terms of these Rules, in accordance with the legislation of the Republic of Lithuania.

Within 2 (two) working days from the receipt of the deed of return of the goods, the Seller agrees with the Buyer on the details of the return of the goods. Upon receipt of the returned goods of the Buyer that meet the return conditions of Chapter 8 of these Rules, the Seller shall return the money for the goods to the account of the payer of the order within 14 calendar days.

8.3. The following conditions must be met when returning the goods:

8.3.1. The returned product must be in the original, tidy, unopened packaging (this item does not apply in the case of returning defective goods);

8.3.2. The Product must be undamaged by the Buyer;

8.3.3. The product must be unused, without losing the appearance of the product: the label is not damaged, the protective film has not been torn off, etc. (this item does not apply in case of return of defective goods);

8.3.4. The returned quality product (within 14 days) must be in the same configuration as it was received by the Buyer (this item does not apply in the case of returned quality product);

8.3.5. When returning the product, it is necessary to present the document of its purchase, the warranty card (if it was issued) and the completed return document;

8.3.6. The Seller has the right to refuse to accept the goods returned by the Buyer if the conditions for the return of the goods have not been complied with;

8.3.7. The costs of purchasing and returning the goods shall be borne by the Buyer, except in cases where the defective goods are returned – in which case the costs of returning the goods shall be borne by the Seller.

8.4. Return and exchange of goods of appropriate quality shall be carried out in accordance with Article 6.22810 of the Civil Code;

8.5. Low-quality goods are returned in accordance with the Minister of Economy’s 2001 June 29 by order no. 217 “On Approval of the Rules of Return and Exchange of Items” approved by the Rules of Return and Exchange of Items.

9. Exchange of information

10. Liability

10.1. The buyer is fully responsible for the accuracy of the data provided at the time of purchase. If the Buyer provides inaccurate data during the purchase, the Seller is not responsible for the consequences and acquires the right to claim compensation for direct losses incurred by the Buyer.

10.2. The registered Buyer is responsible for the security of his login data and must ensure that they are not passed on to third parties. If the e. 11. Marketing and information

13. Final provisions

13.1. Shouldismile.com reserves the right to suspend, supplement, change these Rules and other documents related to the Rules at its sole discretion. 13.3. These Rules have been drawn up in accordance with the legal acts of the Republic of Lithuania.

13.4. The law of the Republic of Lithuania shall apply to the relations arising on the basis of these Rules.

13.5. All disagreements arising from the implementation of these Rules shall be resolved through negotiations. If no agreement is reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.

13.6. The Parties shall be released from the obligations under these Rules if they cannot be fulfilled due to unforeseen circumstances beyond the control of the Parties, which include: fire, explosion, storms and other natural disasters and natural forces that prevent or delay the fulfillment of the obligations; an event or circumstance beyond the control of the contracting party (Parties) which prevents or delays the performance of the assumed obligations; Acts of the government or government that prevent or delay the fulfillment of the undertaken obligations;

13.7.
